1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Drayage Guru, doing business as DrayList ("DrayList," "we," "us," or "our"), governing your access to and use of the DrayList website located at draylist.com, including all associated services, features, content, and applications (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease all use of the Service.

We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you via email or a prominent notice on the Service. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.

2. Description of Service

DrayList is a business-to-business (B2B) drayage and intermodal carrier directory platform serving the North American market, including the United States and Canada. The Service provides:

Planned future features include, but are not limited to: user accounts, carrier listing claims and management, verified reviews requiring proof of shipment, a quote request system, and API access with free and enterprise tiers. These features may be introduced, modified, or discontinued at our sole discretion without prior notice.

DrayList is a directory and information platform. We are not a freight broker, carrier, or transportation provider. We do not arrange, manage, or guarantee any transportation services.

3. Eligibility

The Service is intended exclusively for business use. By using the Service, you represent and warrant that:

DrayList is not intended for personal or consumer use. We reserve the right to refuse service, terminate accounts, or restrict access to any User who does not meet these eligibility requirements.

4. User Accounts

Certain features of the Service may require you to create an account. When account registration becomes available, the following terms will apply:

4.1 Registration

You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete. You may not create an account using false or misleading information, or on behalf of a person or entity other than yourself without proper authorization.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any API keys. You agree to notify DrayList immediately at [email protected] upon becoming aware of any unauthorized use of your account or any other breach of security. DrayList will not be liable for any loss arising from your failure to safeguard your account credentials.

4.3 One Account Per Entity

Each business entity may maintain one primary account. Multiple authorized users may access the Service under a single business account where such functionality is provided.

5. Carrier Listings and Directory Data

5.1 Data Sources

Carrier information displayed on DrayList is compiled from publicly available sources, including but not limited to the Federal Motor Carrier Safety Administration (FMCSA) SAFER System, U.S. Department of Transportation (DOT) records, and other public regulatory databases, as well as information voluntarily submitted by carriers and their authorized representatives.

5.2 No Guarantee of Accuracy

While we make commercially reasonable efforts to ensure the accuracy and currency of directory data, DrayList does not warrant, represent, or guarantee that any carrier listing information is accurate, complete, or current. Regulatory data such as authority status, safety ratings, and insurance information may change at any time, and there may be a delay between official changes and their reflection on the Service. Users should independently verify all carrier information, including operating authority, insurance coverage, and safety records, through official government sources before engaging any carrier.

5.3 Carrier Claim Process

Carriers may claim and manage their listings on DrayList through a verification process. Claiming a listing requires proof that the claimant is an authorized representative of the carrier. Once verified, carriers may update certain profile information, respond to reviews, and access additional listing management features. DrayList reserves the right to reject any claim request and to revoke claimed status at any time.

5.4 Right to Modify or Remove Listings

DrayList reserves the right, at its sole discretion, to modify, update, suspend, or remove any carrier listing at any time and for any reason, including but not limited to: inaccurate information, carrier request, regulatory action, legal compliance, or violation of these Terms. DrayList is under no obligation to maintain any particular listing.

6. User-Generated Content (Reviews and Ratings)

6.1 Verification Requirements

DrayList requires proof of shipment before a review may be published. Acceptable verification includes, but is not limited to, a bill of lading, delivery receipt, freight invoice, or other documentation that demonstrates a completed transaction with the reviewed carrier. DrayList reserves the right to determine, in its sole discretion, whether submitted proof of shipment is sufficient.

6.2 Content Standards

All User-generated content, including reviews, ratings, and comments ("User Content"), must comply with the following standards. User Content must not:

By submitting User Content to the Service, you grant DrayList a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works from such User Content in connection with the Service and DrayList's business operations, including for promotional and marketing purposes. You represent and warrant that you own or have the necessary rights to grant this license and that your User Content does not infringe any third-party rights.

6.4 Moderation and Removal

DrayList reserves the right, but is not obligated, to monitor, review, edit, or remove any User Content at any time and for any reason, including but not limited to content that violates these Terms, is flagged by other Users, or is deemed inappropriate in our sole discretion. We may, but are not required to, provide notice or explanation for the removal of any User Content.

7. Quote Requests and Transactions

7.1 Platform Role

DrayList may facilitate the submission of quote requests from Users to carriers listed on the platform. DrayList acts solely as a platform connecting potential customers with carriers. DrayList is not a party to any transaction, agreement, or contract between Users and carriers. DrayList does not provide, arrange, guarantee, or insure any transportation services.

7.2 No Guarantee of Quotes or Responses

DrayList does not guarantee that any carrier will respond to a quote request, provide a quote, or accept any load. Response times, pricing, and service availability are determined entirely by the individual carriers.

7.3 No Responsibility for Carrier Performance

DrayList assumes no responsibility or liability for the performance, conduct, or quality of service provided by any carrier listed on the platform. Any disputes arising from transactions between Users and carriers must be resolved directly between the involved parties. DrayList is not obligated to mediate or intervene in such disputes.

8. API Terms of Use

8.1 Access and Tiers

DrayList may offer application programming interface (API) access to certain directory data and platform functionality. API access is provided under tiered plans, which may include free and enterprise tiers, each with defined rate limits, usage quotas, and feature sets. DrayList reserves the right to modify API tiers, rate limits, pricing, and available endpoints at any time with reasonable notice.

8.2 API Key Security

API keys are unique to your account and must be treated as confidential credentials. You are responsible for all activity conducted using your API keys. You must not share, publish, or embed API keys in client-side code, public repositories, or any publicly accessible location. If you believe an API key has been compromised, you must revoke it immediately and notify DrayList at [email protected].

8.3 Prohibited API Uses

The following uses of the DrayList API are strictly prohibited:

8.4 Termination of API Access

DrayList may suspend or terminate your API access at any time, with or without notice, for any violation of these Terms, suspected abuse, or for any other reason at our sole discretion. Upon termination, you must immediately cease all use of the API and delete any cached data obtained through the API, except as required by applicable law.

9. Acceptable Use Policy

You agree not to use the Service for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Service. The following activities are expressly prohibited:

9.1 Automated Access

Automated access to the Service is permitted only through the DrayList API with a valid API key and in compliance with Section 8. All other automated access, including but not limited to web scraping, crawling, and screen scraping, is prohibited. DrayList may employ technical measures to detect and block unauthorized automated access without notice.

10. Intellectual Property

10.1 DrayList Ownership

The Service, including its original content, features, functionality, design, logos, trademarks, and trade dress (excluding User Content), is and shall remain the exclusive property of Drayage Guru and its licensors. The DrayList name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Drayage Guru. You may not use these marks without the prior written permission of Drayage Guru.

10.2 User Content License

You retain ownership of any User Content you submit. However, by submitting User Content, you grant DrayList the license described in Section 6.3. You acknowledge that DrayList may use anonymized and aggregated data derived from User Content for analytical, research, and product improvement purposes.

10.3 DMCA Takedown Process

DrayList respects the intellectual property rights of others and expects Users to do the same. If you believe that content on the Service infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to our designated copyright agent at [email protected] with the subject line "DMCA Takedown Request." Your notice must include:

DrayList will respond to valid DMCA notices by removing or disabling access to the allegedly infringing material and will take reasonable steps to notify the content provider. Repeat infringers may have their accounts terminated.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DRAYLIST DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

WITHOUT LIMITING THE FOREGOING, DRAYLIST MAKES NO WARRANTY OR REPRESENTATION THAT:

YOU EXPRESSLY ACKNOWLEDGE THAT YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SERVICE AND ANY RELIANCE ON CARRIER DATA OR USER CONTENT.

12. Limitation of Liability

12.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DRAYLIST, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF DRAYLIST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DRAYLIST'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO DRAYLIST IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

12.3 Essential Purpose

THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER THE REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless DrayList, Drayage Guru, and their respective officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

DrayList reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

14. Dispute Resolution

14.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of South Carolina, United States, without regard to its conflict of law provisions.

14.2 Mandatory Arbitration

Except as provided in Sections 14.4 and 14.5, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Charleston, South Carolina, or at another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND DRAYLIST AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. If any court or arbitrator determines that this class action waiver is void or unenforceable for any reason, or that an arbitration can proceed on a class basis, then the arbitration provision in Section 14.2 shall be deemed null and void in its entirety, and the parties shall be deemed to have not agreed to arbitrate disputes.

14.4 Arbitration Opt-Out

You have the right to opt out of the mandatory arbitration provision by sending written notice of your decision to opt out to [email protected] with the subject line "Arbitration Opt-Out" within thirty (30) days of first accepting these Terms. Your notice must include your full name, business name, mailing address, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Charleston County, South Carolina, and you consent to the personal jurisdiction of such courts.

14.5 Small Claims Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of that court, provided the claim is not aggregated with claims of other persons.

15. Termination

15.1 Termination by DrayList

DrayList may, in its sole discretion, suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, for any reason, including but not limited to: violation of these Terms, suspected fraudulent or illegal activity, extended periods of inactivity, or upon request by law enforcement or government agencies.

15.2 Termination by You

You may terminate your account at any time by contacting us at [email protected]. Termination of your account does not relieve you of any obligations incurred prior to termination, including payment of any outstanding fees.

15.3 Effect of Termination

Upon termination, your right to access and use the Service will immediately cease. Any data associated with your account may be deleted in accordance with our Privacy Policy, except as required by law or legitimate business purposes. DrayList shall not be liable to you or any third party for any termination of your access to the Service.

15.4 Survival

The following sections shall survive any termination or expiration of these Terms: Section 6.3 (License Grant), Section 10 (Intellectual Property), Section 11 (Disclaimer of Warranties), Section 12 (Limitation of Liability), Section 13 (Indemnification), Section 14 (Dispute Resolution), and Section 16 (General Provisions).

16. General Provisions

16.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

16.2 Waiver

The failure of DrayList to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by DrayList.

16.3 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published by DrayList on the Service, constitute the entire agreement between you and DrayList regarding the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and DrayList.

16.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of DrayList. DrayList may freely assign or transfer these Terms, in whole or in part, without restriction and without notice, including in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of its assets.

16.5 Force Majeure

DrayList shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, government actions, embargoes, sanctions, labor disputes, power failures, internet or telecommunications failures, or cyberattacks. DrayList shall use commercially reasonable efforts to minimize the duration and impact of any such event.

16.6 Notices

DrayList may provide notices to you by posting on the Service, sending an email to the address associated with your account, or by any other reasonable means. You are responsible for keeping your contact information current. Notices to DrayList must be sent to [email protected].

16.7 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.
